Constitution and Bylaws for
Kansas City Kite Club

ARTICLE I.  NAME OF THE ORGANIZATION

Section 1.  The name of this organization shall be Kansas City Kite Club (KCKC). 

ARTICLE II.  OBJECTIVES OF THE ORGANIZATION

Section 1.  The objectives of the Kansas City Kite Club shall include but not be limited to the following goals:

            1. to promote interest in kiting

            2. to encourage membership in the KCKC     

3. to provide members with workshops and activities which further their enjoyment of kiting 

ARTICLE III.  MEMBERSHIP

            Section 1.  Any person interested in kiting shall become a member of the Kansas City Kite Club upon payment of dues.  Active members in good standing shall have privileges including but not limited to the following:

1.     The right to be present at all meetings at which club business is transacted

2.     The right to vote.

3.     The right to be eligible to elective and appointive offices subject to provisions of the constitution.

4.     The right to receive reports of the club.

5.     The right to all association services available to membership. 

Section 2.  The membership classes are as follows:

1.     Individual.  Individual memberships shall be entitled to one vote at club meetings.

2.     Family.  Family membership can be granted to two or more persons living at the same address.  Family memberships shall be entitled to two votes at club meetings

3.     Associate.  Associate membership may be granted for the purpose of exchanging information, publications, etc.  Associate members shall be non-dues-paying, and shall not be entitled to vote at club meetings.

4.     Other.  Other classes of membership (life members, honorary, etc.) may be established by club vote/approval.  Other classes of membership may or may not be required to pay dues. 

Section 3.  Annual dues shall be as follows:

1.     New individual membership                                 $15

2.     Individual Renewal (before Feb. 1)                      $10

3.     New family membership   $20

4.     Renewal of Family Membership (before Feb. 1)  $15

5.     Individual Membership after July 1st                   $7.50

6.     Family Membership after July 1st                          $10

ARTICLE IV.  OFFICERS AND EXECUTIVE COMMITTEE

Section 1.  Officers- the officers for the KCKC shall be members in good standing in the club and consist of the following:

1.     President

2.     Vice President

3.     Treasurer

4.     Clerk

Other positions may be established to oversee and chair various areas/activities.  Each chair may form committees of members to aid in completion of their duties.  Each chair is obligated to report to the club on the progress of their activity/project.             

Section 2.  Removal of officers- any elected official of the KCKC may be removed from office during his/her term for gross misconduct or other egregious actions. Removal shall be initiated by the executive board or by the club membership. Final removal shall require 2/3 majority of paid members.  Voting to remove a club officer shall be by ballot and may be done by mail.  Removal shall be effective once the vote has been counted. 

ARTICLE V.  STANDING COMMITTEES

            Section 1.  The following committees may be appointed:

1.     Newsletter and Public Relations (web site, etc.)

2.     Club apparel

3.     Equipment

4.     Workshop Committee 

Section 2.  The president and vice-president shall be ex-officio members of the standing committees. 

Section 3.  A chairperson of each committee shall be responsible for submitting a report of committee activities at each regular club meeting. 

ARTICLE VI.  AMENDING THE CONSTITUTION

                        This constitution can be amended by a simple majority vote of the membership at any regular meeting provided the amendment has been submitted in written form to members at least ten days prior to the regular meeting.


BYLAWS

ARTICLE I.  RULES OF ORDER

            Robert’s Rules of Order shall be the authority for all questions of procedure not specifically stated in the constitution or by-laws. 

ARTICLE II.  DUTIES AND TERMS OF OFFICERS

            Section 1.  All officers shall take office at the spring general meeting of even numbered years and serve for two years.  Any officer may be reelected for additional terms of office.  In case a vacancy occurs in an office, it shall be filled by the executive committee (except the office of president) and the person chosen shall serve until the next regular meeting of the club. 

            Section 2.  The president shall preside at all meetings of the KCKC and executive board.  He/She shall appoint, subject to executive committee approval, all committees and shall serve as an ex-officio member of all committees.  He/She shall serve as a liaison between the club and the AKA and other organizations to which the KCKC may be affiliated. 

            Section 3.  The vice-president shall assume all duties of the president in case of absence, incapacitation, or resignation of the president.  Should the vice-president assume the presidency (or resign), an election for a replacement vice-president shall be held at the next regular meeting. 

            Section 4.  The clerk shall keep accurate and complete record of the KCKC including membership records.  All correspondences in connection with the business of the KCKC shall be done by the clerk.  The clerk or designated person shall present the minutes at each club meeting for approval. 

            Section 5.  The treasurer shall be responsible for the collection of all membership dues.  He/she shall be responsible for all funds of the club, receiving moneys payable to the club, and maintaining the club’s checking account.  The treasurer shall report the financial status of the club at each meeting for discussion and approval.  Minor operating expenses (less than $100) shall be approved and allowed by the executive committee before the treasurer may draft a payment check. The treasurer shall require a receipt before submitting bills to either the general membership or executive committee for approval.  Expenditures exceeding $100 shall require simple majority membership approval at the next meeting and the signature of another officer of the club.   

ARTICLE III.  EXECUTIVE COMMITTEE

            Section 1.  The executive committee shall be responsible for administering the affairs of the KCKC as follows:

1.     to refer any matter to the entire membership for consideration

2.     to assist the president by suggesting ideas for improvement of the KCKC

3.     to fill vacancies until elections can be held

4.     to devise short and long range goals for the KCKC

5.     to prepare the agenda for regularly schedule meetings

6.     to implement policies approved by the membership

7.     to stimulate interest in the KCKC

8.     to prepare a budget  

ARTICLE IV.  MEETINGS

            Section 1.  Regular meetings

1.     The KCKC shall have at least four meeting per year. 

2.     The first regular meeting of the KCKC shall be held in the spring of the year.  Subsequent meetings shall be held approximately every three months throughout the year with location and date set by the executive committee after the spring meeting and distributed to all club members.

3.     The order of business shall be that prescribed in Robert’s Rules of Order and shall include: 

a.      Call to order

b.     Reading and approval of previous meeting’s minutes

c.      Treasurer’s report

d.     Report of officers

e.      Report of committee chairpersons

f.       Unfinished business

g.      New business

h.      Announcements-date and location of next meeting and upcoming flys

i.       Adjournment 

Section 2.  Special Meetings

            Special meetings may be called by the executive committee at any time provided all members receive notification within a minimum of five days prior to the meeting. 

Section 3.  Time and Place of Meetings

            The time and place of the four yearly meetings shall be established by the executive committee after the spring meeting.  

Section 4.  Quorum

            A quorum of members shall consist of ten members in good standing. 

Article V.  AMENDMENTS

These bylaws can be amended by a simple majority vote at any regular meeting provided the amendment has been proposed at the previous regular meeting or submitted in written or printed form to all members at least ten days prior to a regular meeting.

This is a comparison of a standard simplified sample of club bylaws sent to us by American Kiteflyer Association President David Gomberg and the actual Constitution and Bylaws for the Kansas City Kite Club.  The Sample is in italics.   We have also included another club’s bylaws, and the requirements for AKA Club Affiliation. 


 

Constitution and Bylaws for Kansas City Kite Club

 

 

 NAME: The name of this organization shall be **************.

ARTICLE I.  NAME OF THE ORGANIZATION

Section 1.  The name of this organization shall be Kansas City Kite Club (KCKC).

 

PURPOSE: The purpose of the Club shall be to educate the public in the art, history, technology and the practice of building and safely flying kites, and to
advance kiting, its joys, and its values.

ARTICLE II.  OBJECTIVES OF THE ORGANIZATION

Section 1.  The objectives of the Kansas City Kite Club shall include but not be limited to the following goals:

Section 2. Duties: The duties and responsibilities of these officers shall be as follows:

• President- Oversees the operation of the Club, schedules, and presides at all meetings.
• Vice-President - In the absence of the President, presides at all meetings; carries out such duties as prescribed by the President
• Secretary - Takes minutes of all official club meetings, and maintain all club records.
• Treasurer- Maintains a checking account in the name of the Club, maintains records of all Club financial transactions, and maintains membership records.
• Director(s) at Large - Represent the membership at all meetings; organize and provide
management of those kiting projects designated for them by the President

AMENDMENTS: These By-Laws may be altered, amended or repealed and new by-laws adopted by a two-thirds (2/3) vote at any duly called meeting of the members, provided notice of the proposed change(s) be contained in the notice of the meeting and distributed to the full membership at least thirty (30) days before the meeting.

ARTICLE VI.  AMENDING THE CONSTITUTION

                        This constitution can be amended by a simple majority vote of the membership at any regular meeting provided the amendment has been submitted in written form to members at least ten days prior to the regular meeting.


BYLAWS

 

ARTICLE I.  RULES OF ORDER

 NOMINATIONS AND ELECTIONS
Section 1. Nominating Committee: The President shall appoint a nominating committee who will select at least one candidate for each Board of Directors position.
Section 2. The election will be conducted by secret ballot in November with the results being announced in December of each year.
Section 3. Assuming Office: All elected officers will assume their positions and responsibilities on January 1.

 

DUES AND EXPENDITURES
Section 1. Dues shall be determined by the Board of Directors. Members shall be required to pay such dues on an annual basis to maintain membership in good standing. All dues are deposited to the Club bank account.
Section 2. Club Termination: Should the Club cease to exist, all monies would be contributed to a charity determined by the existing members of the Board of Directors.

Affiliated clubs must:

  2. and be non-commercial in nature.

CLUB CHARTER OF THE

SOUTH HOUSTON AREA RECREATIONAL KITERS

(S.H.A.R.K)

 

NAME
The name for this organization shall be South Houston Area Recreational Kiters, SHARK.  Any references to the ‘Club’ or to ‘SHARK’ shall be referring to "South Houston Area Recreational Kiters".

The club name, initials and logo are the property of the SHARK club and will not be used by anyone but SHARK for purposes pertaining only to the SHARK club.

PURPOSE
The overall purpose of this non-profit, charitable and educational organization is to promote kites and the sport of kiting.  To that end the organization shall work to:

1. Share information about kiting and provide avenues of communication among kiters.
2. Promote safe kiting as a rewarding form of art and sport.
3. Facilitate coordination and planning of kiting activities.
4. Provide an educational resource for the development of kiting.
5. Club members will practice safe and courteous kite flying at all times.  Failure to comply with this by-law could result in termination of membership. 

MEMBERSHIP
Eligibility
Membership is open to all persons who favor the purpose of the Club, and attend at least one meeting or SHARK sponsored event within a six-month period.

Privileges of Membership
1. Subscription to the Club newsletter
2. Membership card.
3. Privilege to attend official Club functions.
4. Upon request, a copy the club charter in effect at the time of request.
5. Merchant discounts as negotiated for the members of the organization (if available).
6. Other services as provided by the organization.
7. Use of Club equipment (if available).

Termination or Withholding of Membership
The following is deemed as cause for termination or withholding of membership:

 

Action(s) found by SHARK committee members to be detrimental to SHARK or to club or public safety.

The Club Committee by a majority vote may, in writing, terminate or withhold membership to anyone for activity, which is the judgment of the Committee, is prejudicial to the best interests of the Club.  Termination will be determined in a closed session by current SHARK committee members after an initial warning has been issued to the offending member. A member may be placed on a six-month probation of the discretion of the current SHARK committee members.

 

Expiration of Membership
Membership for members shall be unlimited unless withheld or terminated for above reasons or until SHARK is in a future position begin charging dues necessary for function of the club, to which a new set of by-laws will become adopted.


COMMITTEES
Committees shall be established as needed for the purpose of planning and executing club functions. They shall be established and dissolved as deemed necessary.

RESERVED
The following is the SHARK logo. This logo has been approved by the original club committee and will serve the SHARK club until the club is dissolved.

 

STATEMENT OF NON-DISCRIMINATION

No person will be discriminated against in admission to membership, election or appointment to any post or denied participation in any Club activity on account of race, color, religious beliefs, national origin, political affiliation, gender, age, disability, or sexual orientation.

DISSOLUTION
If at any point, the South Houston Area Recreational Kiters ceases to exist as an organization, the assets of the Club will be donated to the American Kitefliers Association.

>Referencing in the news letter "Let's re-write the bylaws to make leadership, elections easier", I would like to give some feedback as requested but I need some information from the officers: What by-laws are difficult on the leadership, elections and decision making?  The by-laws have very few restrictions and the ones imposed are there for a reason.  Amendments have been made to the current by-laws when it is necessary to keep up with changes of the times and culture of the club, that is why the by-laws allow for amendments.  Re-writing the by-laws implies that you are doing away with the current by-laws not amending them, that seems very drastic.  This is fair question to ask as to where the difficulties are to assure that the problem solving techniques are being used where the problem really lies.

Although I have been involved in the KCKC for around 5 years, I am serving as club secretary, newsletter “editor”, and event coordinator this two-year term.  And I also helped in at least three sewing workshops.  I have been “editing” the newsletter for around 5 years, starting as “helping.”  The original person volunteering for editing the newsletter found he did not have time.  So I got the position by default.  “Editing” loosely means assembling articles that others send in.  Actually, I have had probably less than five articles that have been freely turned in by just asking.  I have tried very hard to bring in articles that inform and educate.  Very hard to do for a new kiter.   And I have tried hard to make the articles reflect the club, and not me.  Also hard, without input and decisions.

 

We need decisions.  We need planning.  Or we need to change the governing body to reflect that.  At the last election, we could barely get enough volunteers to fill office vacancies.  Those that did volunteer, do not have time to meet to discuss plans.  We have had two presidents resign.  On paper the bylaws should work.  BUT THEY DON”T.  

 

In my association with the club I have heard the continuing refrain,  “Less government is better.”  I have also heard the virtues of the “old days” when kite fliers gathered at a phone call. 

 

I also believe in the Kite Club.  However I think we all envision different kite clubs.  What is your vision?

 

To me, the KCKC is not just one person. Not me, not Chuck.  My vision is a group of friends sharing the same hobby.  Education is a big part of my vision.  Friendship, too.  When Ryan first became interested in this sport, he was not able to just pick up the lines to a Beetle and fly.  Countless hours were spent trudging across the hot grass setting up the kite, straightening lines, only to be repeated, again and again.  It all changed when Randy called Wind Wizards, where Ryan had bought the kite.  I actually think that Randy was going to ask about the return policy, but Carolyn instead sent him to an organized fly held the next day.  I stayed home.  I had “helped” enough for one weekend.  But the next day turned Ryan and Randy around on kites.  It turned out to be Twisted Lines that the guys went to.  They came back talking about all the different kites they had seen, and with the bare basics of dual line flying.

 

But bare basics are the minimums.  Ongoing instruction and practice is required if a flyer is going to advance.  Where does a new flier get this? 

 

  • That means flys need to be regularly scheduled, at locations that are basic and easy to find. 
  • Communication is important, also.  The information needs to be regularly dispensed, and updated when needed in a timely fashion.
  • EVERYONE needs to know.  Not just the “inner circle.”

This term, serving as an officer, I added a few more requirements.  This is the first term that Chuck was not sitting on the board.  I missed the continuity.  Not that I think the KCKC cannot do anything they want to, but I found that these transitions are not very smooth.  KCKC replaced every board member this term; only one member had been on the board before, Randy Haberle.  On the plus side, Randy Haberle, Sean Beaver, Bob Rule, and Ryan Derr were the ONLY members who were willing to take office.  I had to be persuaded.  In these strictly volunteer positions, family, work, church, and health must all take precedence over the Kite Club and it’s business.  But I do believe one has an obligation to try to accomplish what you commit to.  So I added these thoughts:

 

·         Officers should be elected/take office early enough to plan for Spring Flys if the club wants to organized them.  National Kite Month is April and the two weekends on either side of April.

·          Officers should stagger terms of office to help continuity.

·         Because of low numbers willing to sit on the Board of Officers, new ideas should be solicited/suggested to help encourage involvement, or reduce the numbers required.

o  Term of office could be expanded to 3 years.  Two members could be elected/volunteer each year giving new Officers the benefit of Experienced Officers.

o  Board expanded to six positions; with the understanding that they will divide responsibilities/obligations each year and as personal obligations occur. 

o  Each Board member should not be required to do more than 2 functions at a time.  This means we can have someone sitting on the board with no functions other than input.  This would reduce the “working board” to two (or more) members of the six positions.  And these positions could be passed back and forth as situations arise.  This would eliminate the need for “resignations,” and the affected officer could take up responsibilities as situations allowed.  This would work for providing continuing leadership, without transition problems an election would cause.

o  Communication here is key. 

 

Remember, my vision of the KCKC will be different than yours.  Visions rarely become reality.  In my vision:

Membership grows, with lots of people attending every fly.

·        Membership volunteers eagerly.

1.      Event the Highlight of the Kiting Year, with both fun and serious recognition of accomplishments of our membership.  Imagine collecting pictures of each event and presenting a slideshow.  Most improved flyer, oddest place to land a kite, worst kite made, best kite made, largest kite added to a member’s bag, smallest kite added, etc.

2.      Massive Auction that can support any events we want to stage the next year.  These can include paying for liability insurance, indoor fly locations, rent for picnic areas and food, upkeep of equipment, materials for yearly service (donate ripstop sleds to scouts, miniature kites to children’s cancer ward, nursing homes, or any other activity voted to support) and possible money for education of members—travel and lodging for an instructor (either kite making, trick workshop, or fighter clinic)

 

How to accomplish this?  Well, one person can start it.  But cannot finish it.  Just as I firmly believe that it should not be MY vision that the club evolves into.  But instead be OUR vision.  Do you want nothing?  Continue as we are, and that is what we will have.

As the KCKC Webgeek, I have the opportunity to look at things from both a personal and business point of view. Running a club should NOT be this difficult.

 

We ALL love kiting. If we didn't we would not be here.

 

I think the current bylaws are too anal. I believe we should have a Board of directors (8-10 people) with an Executive board that includes 4 of the board members. Meetings for the exec board should be once a month---(4th Sunday Fly??) Main board should also meet regularly..say every 8 weeks?

 

ALL that the exec board should be responsible for is to make sure the club runs smoothly and provide a public voice for the club. Main board members should be responsible for planning events and helping newbies learn about kiting.

 

We are not talking about MAJOR time commitments if we can actually COOPERATE. Yes it is time consuming at first, but after the procedures are in place then we are only talking about a time commitment of about 15-20 min per week (not including flys).

 

I for one already make more of a commitment than that with this website. When developing a website the time is on the front end and once the plan is in place then it only needs tweaking to keep it maintained. The same goes for a club.

 

I am willing to volunteer to help reorganize and make the club more efficient and less stressful in managing. If I can come up with the time while running a business, taking care of a 9 month old and a 15 month old, and unpack/remodel a new house then so can ANYONE.

 

Let's make the club FUN again!!!

UPDATE:

Okay I just spoke with my sister the attorney.

Full incorporation and/or non-profit status would be very expensive and require mounds of paperwork on both the upfront and ongoing basis. 

She recommends that we do a Limited Liability Corporation (LLC). This would require minimal maintenance paperwork and legal fees.  She would charge us $600 for the filings and legal revision of the operation agreement (Constitution & Bylaws). Most other attorneys would start their prices at $1000, but she owes me some favors :) 

She also highly recommends completely revising the current operating agreement to reduce/remove the personal liability of Board Members. This is something she & I can work on for the club. Of course the new agreement would have to be ratified by a quorum of the members in good standing. She will not charge for this. 

As I said online and in the last email from the webgeek, I am willing to step up to the plate. However, I cannot do it alone. ALL of us love kiting and ultimately want the club to thrive. Who else is willing to join me in bringing this club back to life?
